The strategic vendor contract is a binding legal contract made between two parties, one whom is a company or an organization while the other party is a vendor who wishes to be associated with the organization and help in marketing the product or services of the company.

Following terms and conditions are important aspect of the strategic vendor contract and need to be followed:
The strategic vendor contract licenses the said vendor “Ikon Sales” to sell the products (Denim) of “Jive” across different markets in the state of Texas. The vendor “Ikon Sales” will also promote the products through their own retail outlet situated in Dallas, Texas. The vendor will market Jive’s products in the territories mentioned in “Territory” section of the contract only.
“Ikon Sales” will send electronic invoices to their dealers and other retailers within the specified “Territory” and receive payments from them no later than the 10th day of each month. The vendor will then send payment to “Jive” no later than the 25th day of each month and raise an invoice for the same.
“Ikon Sales” has the right to return at full expense of the company any product that (a) infringes copyright, and trademark (b) is not in accordance to the standards of the industry (c) is damaged (d) has been shipped in error.
