A stock purchase contract is a legal document signed between a company’s shareholders and an investor regarding the sale and transfer of the company’s stock shares. Any business acquisition is usually finalised with stock purchase contracts, although they do not easily allow for the segregation of assets and liabilities between seller and buyer.
Sample Stock Purchase Contract:
This stock purchase contract is entered as on March 15, 2011 by and among Clarins Plastics, an Ohio-based corporation, referred to as the BUYER, and the stockholders who collectively own all the issued stock of Designs & Designs, an Ohio-based corporation, now referred to as the SELLER.
WHEREAS, the SELLER has authorised the issue of the sale of 150,091 shares of Designs & Designs of $.5 par value per stock, to the BUYER Clarins Plastics.
WHEREAS, according to the terms of this contract, the BUYER shall acquire from the SELLER, and the SELLER shall sell to the BUYER, all of the shares of Designs & Designs as of the Closing.
THEREFORE, with reference to the mutual covenants contained herein, the parties agree to a purchase price of $80,000 with no additional amount as deposit.
The contract cannot be changed or amended without the written permission of the BUYER and SELLER.
All expenses, charges and other costs associated with the purchase of the shares shall be borne by the SELLER.
This contract supersedes all prior discussions between the parties with respect to the subject matter of this contract.
The undersigned understand and agree to terms mentioned above.
